Agreement: Web Development
This website development services agreement is intended as a legally binding agreement between Social Stardom and Klug Avalon, collectively known as the "Parties" or "Client". Client has agreed to allow the above developer to create, develop, test, and launch a website according to the below‐mentioned scope of work. Developer is interested in undertaking such work; and Client and developer mutually desire to set and agree to the following terms and conditions as listed.
Scope of Work
The Client has explained in detail the requirement of the website. Features noted as below;
Website will be built in PHP/HTML5 platform
Website will be synced with clients CRM software.
3. 5 Wizards will be created with multifunctionality and option to add products and categorize.
Website will be responsive to all platforms
Basic SEO Optimization
Optimized Contact form
PDF Download
Pages: Home, About Us, Gallery, Contact Us, etc..
Live Chat and other free plugins if required can be added to the scope of work at no charge. There will be flexibility to create more wizards within the number of categories created. Creating more categories will lead to creating more outputs and will need reworking for which additional charges may be implied.
Changes in Project Scope
If Client wishes to implement major revisions after Client has already accepted Developer's work product following completion of any stage of development, Client shall submit to Developer a written proposal specifying the desired changes.
Developer will evaluate each such proposal at its standard rates and charges. Developer shall submit to Client a written response to each such proposal within ten working days

following receipt. Developer's written response shall include a statement of the availability of Developer's personnel and resources, as well as any impact the proposed changes will have on the contract price, delivery dates, or warranty provisions of this Agreement. Client shall have ten business days from receipt of Developer's response to its proposal to accept or reject it in writing. If Client accepts Developer's response, Developer shall draft a written Contract Amendment Agreement to reflect the desired changes and acknowledge any effect of such changes on the provisions of this Agreement. Developer shall commence work on the desired changes once the Contract Amendment Agreement is signed by authorized representatives of Client and Developer.
Should Client reject Developer's response to its proposal, Client will so notify Developer within ten working days of Client's receipt of the response.
Developer will not be obligated to perform any services beyond those called for in this original Agreement.
Website Maintenance
Maintenance to all websites built by developer, Social Stardom, will be free of charge for the first 3 months. Maintenance charges thereafter will need discussion to the number of activities and changes.
Developer Requirements
The Developer hereby retains the services of the Client to design, develop and host a website & domain and Necessary additional items as listed in accordance with the proposal submitted by Developer to Client and signed on 22‐08‐2018. Changes to this Agreement or to any deliverables in this contract must be submitted in writing and approved by both parties prior to taking place. Developer agrees to notify company if any risks or schedule delays may take place affecting delivery dates and presentation of the final website. Developer agrees to personally present said website on due date set at a location suitable to both Parties for final approval and acceptance by Client.

Client shall provide Developer with appropriate space and resources for such presentation to take place. Developer shall provide all necessary computers and staff to effectively achieve such a Presentation.
Design
Developer agrees to attain design approval from the Client prior to beginning development by submitting detailed design mockups for Client review. Three designs will be made as a mockup for selection, in which further editing will be done to reach the clients vision and goal. Client's website will not include any of the following unless previously agreed upon between both parties.
Any destructive, crude, insulting, harassing, violent, sexual, or any other
inappropriate
Any and invisible fields or pages.
All materials to be supplied by client must be provided with compatible file types and sizes.
Until final approval, no portions of above site will be made available to end users without the correct password and username combination.
Upon completion and approval of its final Web Site, or upon termination of this Agreement, whichever occurs earlier, the Developer shall deliver any and all materials developed in the course of its performance under this Agreement and any other items deemed necessary for the operation of the website.
Documentation shall be delivered in either printed or electronic format as agreed upon by both parties. If code is delivered in electronic format, any and all files shall be provided in compatible file formats.
The Developer agrees they shall maintain website back‐ups and one set of the final materials provided for a term up to Website Development & Launch phase.
If this Agreement is terminated prematurely the Developer will withhold access to any and all copies, files, hosting, domain, and all documents related to this website development services agreement for which the payment has not been given.

Pricing & Payment
This website development services agreement shall be invoiced on a time‐and‐materials basis. The Developer shall deliver an invoice every 30 days which details all hours and additional costs that the Client is responsible for. Client agrees to pay each invoice in two parts to the developer, 50% advance and 50% end of the month period. The cost for this Project: Rs. 90,000/‐
Ex GST, Hosting & Domain
Payment will be carried out in 4 phases
Phase 1: Advance of 25%
Phase 2: Initial Design Approval , 25%
Phase 3: Going Live , 25%
Phase 4: 7 Days after site is live , 25%
Termination
Client may terminate this website development services agreement at any time by providing written notice via email or certified mail to the Developer. Developer may cancel this agreement in the same manner if necessary. In the event that this website development services agreement is cancelled by either party, the Developer shall issue a final invoice for any unbilled time or materials. The Client agrees to pay the final invoice according to the terms of this website development services agreement before receiving handover of all the work completed. This website development services agreement shall be governed by the prevailing laws of Pune, Maharashtra, India for further investigation & settlement.

By signing below, the Parties hereby enter into a binding website development services agreement with one another.
